End-user license agreement

For ResoPlate. The same text ships inside the download as EULA.txt.

This agreement takes effect with ResoPlate 1.0.0. "We" means Benjamin Guerrero, doing business as Reso Audio. "You" means the person who bought or installed ResoPlate.

1. The license. When you buy ResoPlate and receive a license key, we grant you a perpetual, non-exclusive license to use it. It does not expire and it needs no subscription. The license is personal to you and is not transferable, except where the law that applies to you allows a transfer.

2. Your machines. You may install and use ResoPlate on any computers that you personally own or use, on macOS and on Windows. The key is tied to you, not to a computer. It is not for sharing with other people, and a studio or school with several users needs one license per person.

3. Your music is yours. Anything you make with ResoPlate, including commercial releases, film, games, and sample libraries of your own performances, belongs to you, with no royalties or credit required.

4. What you may not do. You may not resell, rent, share, or publish ResoPlate or your license key, except where the law that applies to you allows it, and you may not remove or get around its license check. You may not reverse engineer it except where the law allows this in spite of this agreement.

5. The demo. Without a key, ResoPlate runs as a demo: the full plug-in, with the output briefly faded to silence now and then. You may use the demo to evaluate the plug-in for as long as you like.

6. Updates. Updates within the same major version are free: every 1.x update is free to anyone who bought version 1. We may offer a new major version as a paid upgrade. Updates are optional; ResoPlate only checks for them when you click "Check for Updates".

7. Refunds and your key. Refunds follow the Reso Audio refund policy (refund policy), which is part of this agreement. If your order is refunded or charged back, this license ends. Because your key is checked on your own computer, the copy you already have will keep running, but after a refund you may no longer use it for commercial work, and versions released afterwards treat the key as unlicensed and run as the demo.

8. Ending the license. This license also ends if you break section 4. When it ends for that reason, stop using ResoPlate. Sections 3 and 9 to 11 continue after the license ends.

9. No warranty. ResoPlate is provided "as is". Try the demo first to make sure it works in your setup. To the extent the law allows, we make no warranties beyond what this agreement states.

10. Limit of liability. To the extent the law allows, our total liability to you for anything related to ResoPlate is limited to the amount you paid for it.

11. General. This agreement is governed by the laws of the Commonwealth of Virginia, United States, except where the consumer law where you live says otherwise. Nothing in it limits rights that law gives you. Questions: support@resoaudio.com
